These Terms of Use and Sale ("Terms") govern your access to and use of the Oak and Clay website, storefront, customer portal, downloadable materials, and related products and services. These Terms form a binding agreement between you and Oak and Clay LLC ("Oak and Clay," "we," "us," or "our").
1. Acceptance of Terms
By accessing or using our website, creating an account, submitting an inquiry, placing an order, paying an invoice, downloading purchased materials, or otherwise using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the website or purchase from Oak and Clay LLC.
2. Eligibility and Account Responsibilities
You may use the website only if you can form a binding contract under applicable law. If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account. You must provide accurate, current, and complete information during checkout, intake, and account setup.
We may permit guest checkout for certain purchases. If you purchase as a guest, you are still responsible for providing accurate contact, billing, and delivery information. Oak and Clay LLC may later invite you to claim an account or portal access associated with your purchase.
3. Products and Services
Oak and Clay LLC may offer timber frame kits, plans, drawings, digital files, estimating tools, project portal access, and related goods or services. Product descriptions, renderings, examples, dimensions, specifications, milestone schedules, and availability are provided for general informational purposes and may be updated over time.
Some offerings are standard storefront products. Others may be custom, semi-custom, or project-based and may require separate written approval, intake, scope confirmation, or manual invoicing. Storefront availability does not guarantee that every product or service is available in every region, under every site condition, or under every schedule.
4. Pricing, Quotes, and Product Information
Prices shown on the website are subject to change before an order is placed. We may correct pricing, typographical, inventory, availability, or descriptive errors at any time, including after an order is submitted, provided that if we materially change a confirmed storefront order we will contact you regarding next steps.
Unless expressly stated otherwise in writing, quoted or displayed prices do not include taxes, permitting, site work, engineering beyond the described scope, crane services, installation, storage, customs charges, or special shipping requirements. Product photos, wood grain, color, natural material variation, and other visual representations may differ from the delivered product.
Oak and Clay LLC does not collect sales tax at this time. You are solely responsible for any applicable sales tax, use tax, consumer tax, import duty, customs fee, or similar governmental charge arising from your purchase, shipment, receipt, storage, installation, or use of any product or service purchased through the website.
5. Orders, Acceptance, and Checkout
Your cart, checkout, payment confirmation, or automated order acknowledgment does not necessarily mean Oak and Clay LLC has accepted every obligation you propose outside the storefront flow. We reserve the right to decline, limit, cancel, or request clarification regarding any order for reasons including pricing errors, inventory issues, suspected fraud, shipping constraints, availability, project suitability concerns, or incorrect customer information.
If an order is canceled by Oak and Clay LLC before meaningful project-specific work begins, our sole obligation will generally be to refund amounts actually paid for the canceled portion of the order, unless a different remedy is required by law.
6. Payment Terms for Kits, Plans, and Other Products
Online kit purchases are currently processed through Stripe. By submitting payment, you authorize Oak and Clay LLC and its payment processors to charge the amounts shown at checkout, including the deposit due at checkout and any later amounts due under the disclosed payment schedule.
For storefront timber frame kit purchases, checkout may require an initial deposit and may display additional milestones that become due later. The payment schedule shown at checkout or in your order confirmation governs that purchase unless Oak and Clay LLC confirms a different schedule in writing. If no alternate written agreement applies, the balance or later milestones must be paid when due in order for Oak and Clay LLC to continue procurement, scheduling, fabrication, delivery, release of materials, or other work.
Plans, drawings, digital files, and similar downloadable or immediate-access products generally require full payment at checkout unless we state otherwise in writing. Custom or manually invoiced work may be subject to separate milestone invoices, project terms, or proposal documents.
7. Late, Failed, or Reversed Payments
If a payment fails, is disputed, is reversed, or is not received when due, Oak and Clay LLC may pause production, scheduling, delivery, downloads, portal access, or further performance until the account is brought current. We reserve the right to require updated payment information, reject future orders, or pursue available remedies for unpaid amounts to the extent permitted by law.
8. Cancellations, Changes, and Refunds
Because many Oak and Clay LLC products involve project-specific scheduling, engineering, procurement, fabrication planning, or digital delivery, cancellations and refunds are handled differently than ordinary retail goods. Deposits and milestone payments are generally applied to reserve capacity, administration, design coordination, procurement, and project execution.
Unless otherwise required by law or expressly approved by Oak and Clay LLC in writing:
- digital downloads, plans, drawings, and other delivered digital materials are non-refundable once delivered or made accessible;
- amounts already earned or spent on project-specific work, procurement, scheduling, engineering, fabrication preparation, or delivery preparation are non-refundable;
- approved changes to an order, scope, or delivery requirements may change price, schedule, and milestone timing;
- custom or special-order materials may be non-cancelable and non-returnable once ordered.
If you need to request a cancellation or scope change, contact Oak and Clay LLC promptly at craft@oakandclay.com. We will review the request in light of the project stage, incurred costs, vendor commitments, and work already performed.
9. Shipping, Delivery, Risk, and Inspection
Shipping, delivery, and site coordination timelines are estimates unless we expressly confirm a firm date in writing. Delays may occur because of weather, material availability, site readiness, carrier performance, force majeure events, access limitations, customer delays, or other causes outside our reasonable control.
You are responsible for providing an accurate delivery address, safe site access, any required equipment or labor on site unless otherwise agreed, and timely coordination for receiving and inspecting the shipment. You must inspect delivered goods within a reasonable time after receipt and notify Oak and Clay LLC promptly of any visible shortage, shipping damage, or material nonconformity.
10. Project Suitability, Codes, and Construction Responsibility
Oak and Clay LLC does not guarantee that any kit, plan, drawing, or recommendation is suitable for every site, jurisdiction, or use case. You are responsible for confirming local zoning, permitting, code compliance, engineering requirements, foundation requirements, site conditions, installation methods, and final suitability for your intended project unless Oak and Clay LLC separately agrees in writing to provide a specific professional service within that scope.
Construction means, methods, sequencing, site safety, contractor selection, workmanship, and final build outcomes remain the responsibility of the purchaser, builder, installer, engineer of record, and other project professionals, not Oak and Clay LLC, except to the limited extent we expressly agree otherwise in writing.
11. Intellectual Property and License Restrictions
The website, storefront content, text, branding, images, product layouts, downloads, drawings, plans, pricing tools, and related materials are owned by or licensed to Oak and Clay LLC and are protected by applicable intellectual property laws.
Unless a separate written license expressly states otherwise, plans, drawings, and digital files purchased through Oak and Clay LLC are licensed for your internal and project-specific use only. You may not copy, resell, sublicense, distribute, post publicly, create derivative commercial products from, or reuse them for unrelated builds without written permission from Oak and Clay LLC.
12. Website Use Restrictions
You may not use the website to interfere with normal operations, attempt unauthorized access, scrape or harvest protected content without permission, misrepresent your identity, submit false orders, introduce malicious code, or use the site in violation of applicable law.
13. Third-Party Services
Oak and Clay LLC may rely on third-party providers such as payment processors, cloud hosting, document systems, analytics tools, shipping providers, and accounting or customer-management platforms. We are not responsible for the independent acts, downtime, content, or policies of third-party services, though we may use them to operate the storefront and fulfill orders.
14. Disclaimer of Warranties
To the maximum extent permitted by law, the website, storefront, and all products and services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Oak and Clay LLC does not warrant that the website will be uninterrupted or error-free, or that every product, schedule, specification, or digital file will be perfectly suited to your particular project or jurisdiction.
15. Limitation of Liability
To the maximum extent permitted by law, Oak and Clay LLC will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost opportunities, loss of data, project delays, construction defects, contractor errors, permitting failures, or site-related losses arising out of or relating to the website, products, services, or these Terms.
To the maximum extent permitted by law, Oak and Clay LLC's aggregate liability for any claim arising out of or relating to the website, a purchase, or these Terms will not exceed the amount you paid to Oak and Clay LLC for the specific product or service giving rise to the claim during the twelve months preceding the event giving rise to the claim.
16. Indemnification
You agree to indemnify, defend, and hold harmless Oak and Clay LLC and its owners, officers, employees, contractors, and agents from and against claims, liabilities, damages, losses, and expenses arising out of or related to your misuse of the website, your violation of these Terms, your project, your site conditions, your construction or installation activities, or your violation of applicable law or third-party rights.
17. Privacy and Electronic Communications
Your use of the website is also subject to our Privacy Policy. By using the site, submitting forms, or placing an order, you consent to receive transactional communications from Oak and Clay LLC by email and, where applicable, by phone or text regarding your account, checkout, order status, project, invoices, deliveries, and support.
18. Changes to These Terms
Oak and Clay LLC may update these Terms from time to time. The "Last Updated" date above indicates when the current version became effective. Updated Terms apply prospectively to future use of the website and future purchases, and may also apply to ongoing site use or portal access to the extent permitted by law.
19. Governing Law and Disputes
These Terms are governed by the laws applicable in the jurisdiction where Oak and Clay LLC operates, without regard to conflict of law principles, except to the extent superseded by mandatory consumer protection law. Any dispute arising out of or relating to these Terms, the website, or a purchase will be resolved in the courts having competent jurisdiction over Oak and Clay LLC, unless applicable law requires a different forum.
